TERMS & CONDITIONS

SolaceSquad® Technologies, on behalf of itself and its affiliates/group companies under the brand "SolaceSquad®", is the author and publisher of the internet resource www.SolaceSquad.com and on the world wide web as well as the software and applications provided by SolaceSquad®, including but not limited to the mobile application(s), Mobile Website, the other associated/ancillary applications, products, websites, and SolaceSquad® Platform.

1. NATURE AND APPLICABILITY OF TERMS

1.1. Please carefully go through these Terms of Use ("Terms") and the Privacy Policy before you decide to access the Website or avail the services from the SolaceSquad® Platform. These Terms and the Privacy Policy together constitute a legal agreement ("Agreement") between you and SolaceSquad®.

1.2. The Agreement applies to you whether you are a Mental Health Care Professional or other health care service provider ("Practitioner"); a Consumer/Client searching for Practitioners ("End-User"); or otherwise a user of the Website.

1.6. By downloading or accessing the Website to use the SolaceSquad® Platform, you irrevocably accept all the conditions stipulated in this Agreement.

1.7. We reserve the right to modify or terminate any portion of the Agreement for any reason and at any time.

1.10. The Agreement is governed by the provisions of Indian law, including the Indian Contract Act 1872 and the Information Technology Act 2000.

2. CONDITIONS OF USE

2.1. You must be 18 years of age or older to register, use the SolaceSquad® Platform, or visit or use the Website in any manner.

2.2. If you use the SolaceSquad® Platform on behalf of someone else or an entity, you represent that you are authorised by such individual or entity to accept this privacy policy and consent to collection and disclosure of their information.

2.3. Corporate User: If you are registering an employee on behalf of a corporate organization, you represent and warrant that you have received express consent from such employee.

3. TERMS OF USE APPLICABLE TO ALL USERS (Non-Practitioners)

3.2. End-User Account And Data Privacy — SolaceSquad® may collect information relating to the devices through which you access the Website and anonymous usage data to improve the quality of the Platform.

3.5. Booking A Consultation — SolaceSquad® enables Users to connect with Practitioners through Book Now, phone/SMS/WhatsApp scheduling, and tele-consultation services (chat, audio, and video).

3.6. Rescheduling, Refund & Cancellation Policy — A minimum of 24 hours' notice is required for rescheduling or cancellation. Cancellations within 24 hours or no-shows will be charged 100% of the session fee.

3.7. No Doctor-Patient Relationship — The SolaceSquad® Platform is not for use in medical emergencies. If you think you have a medical or mental health emergency, please call 112 or go to the nearest hospital.

3.8. Reviews And Feedback — You are solely responsible for any feedback, ratings, or reviews ("Critical Content") you post. SolaceSquad®'s role is restricted to that of an 'intermediary' under the Information Technology Act, 2000.

4. TERMS OF USE — PRACTITIONERS

4.1. Listing Policy — SolaceSquad® reserves the right to take down any Practitioner's profile with or without notice.

4.2. Profile Ownership — SolaceSquad® reserves the right of ownership of all Practitioner profiles and photographs and the right to moderate changes or updates.

4.5. Practitioner Undertaking — The Practitioner is duly registered, licensed, and qualified to provide mental health care services as per applicable laws and shall maintain high standards of professionalism.

4.6. Usage In Promotional & Marketing Materials — Practitioner shall allow SolaceSquad® to include brief descriptions, case studies, testimonials, and use the Practitioner's name/logo in marketing materials.

5. SOLACESQUAD® FEED

5.1–5.3. SolaceSquad® Feed is an online content platform where Practitioners can post health and wellness-related content including text, audio, video, and images. Content uploaded does not constitute medical advice.

5.4–5.5. Practitioners acknowledge they are the original authors of any Content uploaded and hereby assign to SolaceSquad®, in perpetuity and worldwide, all intellectual property rights in such Content.

5.16. Content Ownership — Contents on the Website either belong to SolaceSquad® or are User-generated. Users are authorised to view and access content solely for personal, non-commercial use.

6. HEALTH RECORDS

6.1. SolaceSquad® may provide End-Users with a 'Records' facility. Health Records are of two types: User-created and Practice-created.

6.2. Health Records are provided on an as-is basis. SolaceSquad® is not liable for any interruption in access, late reminders, or unauthorized access due to loss of login credentials. If you wish to delete your Records, contact our service support team.

8. RIGHTS AND OBLIGATIONS RELATING TO CONTENT

8.1. Users are not permitted to host, display, upload, modify, publish, transmit, or share any information that is unlawful, harmful, defamatory, obscene, infringing of third-party rights, or threatening to national security.

8.2. Users are also prohibited from: violating platform security, submitting false information, making unsolicited communications, using bots or scrapers, decompiling the platform, or deep-linking SolaceSquad® content.

9. TERMINATION

9.1. SolaceSquad® reserves the right to suspend or terminate a User's access to the Website and Platform with or without notice in cases of breach of Terms, third-party rights violations, unverifiable information, fraudulent activity, or actions causing legal liability.

9.2. Once terminated, the User may not continue to use the Website under any account. The User shall ensure continuous backup of any Health Records on the Platform.

10. LIMITATION OF LIABILITY

10.1. In no event shall SolaceSquad® or any of its directors, officers, employees, or agents be liable for any direct, indirect, special, incidental, or consequential damages arising from the use of the Website.

10.2. In no event shall the total aggregate liability of SolaceSquad® to a User exceed Rs. 1000/- (Rupees One Thousand Only).

12. APPLICABLE LAW AND DISPUTE SETTLEMENT

12.1. This Agreement is governed by the laws of India.

12.2. Any dispute shall be determined by arbitration in India before a sole arbitrator appointed by SolaceSquad®, conducted under the Arbitration and Conciliation Act, 1996.

12.4. The courts at Delhi shall have exclusive jurisdiction over any disputes arising out of this Agreement.
